Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE USING THE COREWIDE SOLUTIONS PORTAL (THE "PORTAL") OPERATED BY COREWIDE ("COREWIDE," "WE," "US," OR "OUR"). BY ACCESSING OR USING THE PORTAL, YOU ("YOU" OR "USER") AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PORTAL.

1. ACCEPTANCE OF TERMS

By accessing or using the Portal, you represent and warrant that you have the legal capacity to enter into these Terms. If you are accessing or using the Portal on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms. By purchasing a Solution, you also agree to be bound by the Corewide Proprietary License.

2. DEFINITIONS

• "Corewide Proprietary License" means the license agreement governing the use of Solutions, available at https://solutions.corewide.com/license/corewide-proprietary/.
• "Information" means all information, including but not limited to user guidelines, in connection with the Solution, including received or obtained by the User directly or indirectly from Corewide in writing, electronically, in coding, in drawings, orally or in any other way.
• "Purchase Agreement" means any agreement between User and Corewide LLP regarding the purchase of a Solution. This may include online order forms, separate contracts, etc.
• "Solution" means any configuration code, related diagrams, usage documentation, setup services and support services delivered by Corewide pursuant to a Purchase Agreement.
• "User Data" means all information originating with the User collected or compiled in the course of using the Solution.

3. DESCRIPTION OF PORTAL

The Corewide Solutions Portal (https://solutions.corewide.com/) is a platform providing access to DevOps Solutions developed by Corewide. Upon purchase, users gain access to utilize these solutions, including infrastructure-as-code modules, automation scripts, related documentation, setup and support services.

4. ACCOUNT REGISTRATION

To access certain features of the Portal and to purchase Solutions, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to immediately notify Corewide of any unauthorized use of your account.

5. USE OF THE PORTAL AND SOLUTIONS

5.1 License Grant

Subject to your compliance with these Terms and the Corewide Proprietary License, including payment of any applicable fees, Corewide grants you a limited, non-exclusive, non-transferable, non-assignable license to access and use the Portal and Solutions you have purchased for your internal business operations, as further defined and restricted by the Corewide Proprietary License.

5.2 Prohibited Conduct

You agree not to:

• Use the Portal or Solutions for any illegal or unauthorized purpose.
• Violate any applicable laws or regulations.
• Infringe upon the intellectual property rights of Corewide.
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to the Portal or any related systems or networks.
• Interfere with or disrupt the operation of the Portal.
• Use any automated means (e.g., robots, spiders) to access or collect data from the Portal without Corewide's express written permission.
• Reverse engineer, decompile, or disassemble any portion of the Portal or any Solutions, except to the extent permitted by applicable law and the Corewide Proprietary License.
• Distribute viruses, worms, or other malicious code. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Resell, rent, lease, sublicense, or relicense the Portal or Solutions, or any part thereof, to any third party. This includes, but is not limited to, any customer or affiliate of the User.

6. THIRD-PARTY CONTENT AND PROVIDERS

6.1 Provider Content

Corewide does not endorse and is not responsible for the accuracy, completeness, or legality of any Content provided by third-party Providers. Your use of Provider Content is at your own risk.

6.2 Provider Agreements

Your interaction with Providers, including any purchase or use of their services or solutions, may be subject to separate agreements between you and the Provider. Corewide is not a party to such agreements and is not responsible for the acts or omissions of Providers.

6.3 Provider Responsibility

Providers are solely responsible for their Content, ensuring it is accurate, does not infringe any third-party rights, and complies with all applicable laws and regulations.

7. INTELLECTUAL PROPERTY

All Solutions offered on the Portal are developed and owned by Corewide. The Portal and all Solutions, including all intellectual property rights therein ("Corewide Intellectual Property"), are the property of Corewide or its licensors and are protected by copyright, trademark, and other intellectual property laws. Your purchase of a Solution grants you a license to use the Solution as described in these Terms and the Corewide Proprietary License (available at https://solutions.corewide.com/license/corewide-proprietary/), but does not transfer ownership of the Solution or any Corewide Intellectual Property rights to you. You retain ownership of your User Data.

8. DISCLAIMERS

THE PORTAL AND SOLUTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COREWIDE DOES NOT WARRANT THAT THE PORTAL OR SOLUTIONS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. COREWIDE MAKES NO WARRANTIES BEYOND THOSE EXPRESSLY STATED IN THE COREWIDE PROPRIETARY LICENSE.

9. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY LAW, COREWIDE SHALL HAVE NO LIABILITY FOR ANY LOSS OR DAMAGE SUSTAINED BY USER ARISING FROM OR IN CONNECTION WITH THE USE MADE BY USER OF THE SOLUTION AND THE INFORMATION OR ANY ALLEGATION THAT SUCH USE INFRINGES ANY THIRD PARTY INTELLECTUAL PROPERTY RIGHT OR OTHERWISE, WHETHER SUCH LOSS OR DAMAGE WOULD ARISE AS A RESULT OF A BREACH OF CONTRACT, TORT OR OTHERWISE. THIS LIMITATION OF LIABILITY IS CONSISTENT WITH AND FURTHER DETAILED IN THE COREWIDE PROPRIETARY LICENSE.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Corewide, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Portal or Solutions, your violation of these Terms or the Corewide Proprietary License, or your infringement of any intellectual property or other right of any person or entity.

11. TERMINATION

Corewide may terminate or suspend your access to the Portal and/or your license to use any Solutions for violation of these Terms or the Corewide Proprietary License. Upon termination, your right to use the Portal and any affected Solutions will immediately cease. Corewide may also terminate or suspend access as specifically provided for in any applicable Purchase Agreement.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Portal shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. MODIFICATIONS TO TERMS

Corewide reserves the right to modify these Terms at any time. We will post the updated Terms on the Portal and update the "Last Updated" date. Your continued use of the Portal after any such changes constitutes your acceptance of the new Terms.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms, together with the Corewide Proprietary License, constitute the entire agreement between you and Corewide regarding your use of the Portal and Solutions and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

14.4 Assignment

You may not assign these Terms or any of your rights or obligations hereunder without Corewide's prior written consent. Corewide may assign these Terms without restriction.
